Scope
Agreed in writing before work starts
Most price reductions happen after the letter of intent, when a buyer’s diligence team finds something the seller had not explained. We find it first. Our readiness work runs the checks a buyer’s quality of earnings provider will run: revenue recognition, normalized EBITDA, working capital trends, customer concentration and the accruals behind month-end.
A typical project takes 8–14 weeks. We rebuild adjusted EBITDA with a schedule of every add-back and its support, prepare a working capital analysis you can defend when the peg is negotiated, and stock a data room with an index a buyer’s team can follow. Where the numbers show a real problem, we tell you early, so you can fix it or price it in before a buyer does.
During a live process we answer financial diligence requests and keep the deal model current as terms move. Your M&A counsel handles the purchase agreement, your tax advisors handle deal structure, and any licensed sell-side advisor you hire runs buyer outreach. We keep the numbers under all of it consistent.
